Corporate Tax registration is a legal requirement for every business operating in the UAE, regardless of profit level — mainland companies, free zone entities, and even 0%-rate businesses must obtain a Tax Registration Number from the Federal Tax Authority. The deadline to register is not the same for everyone: it depends on when your business was licensed or incorporated. Missing it triggers an automatic AED 10,000 penalty, with no grace period. Why Registration Is Mandatory for Everyone

Unlike VAT, Corporate Tax registration has no revenue threshold. Even a free zone company expecting to qualify for the 0% rate, or a small business planning to claim Small Business Relief, must still register and hold a valid Tax Registration Number. The FTA treats registration and tax liability as two separate obligations — you can owe zero tax and still be penalized AED 10,000 for failing to register on time.

How Your Deadline Is Calculated

  • Licensed before 1 March 2024: a fixed schedule applies based on your original licence issuance month, running from 31 May 2024 through 31 December 2024 depending on the month
  • Resident juridical person incorporated on or after 1 March 2024: 3 months (commonly referenced as a 90-day window) from the date of incorporation, establishment or recognition
  • Non-resident entity with a UAE Permanent Establishment: 6 months from the date the PE is established
  • Non-resident entity with UAE-taxable presence but no PE (a 'nexus'): 3 months from establishing that nexus
  • Resident natural person (individual) with turnover above AED 1 million in a calendar year: by 31 March of the following year

What Happens If You Miss the Deadline

A missed registration deadline triggers an automatic AED 10,000 administrative penalty under Cabinet Decision No. 75 of 2023, as amended by Cabinet Decision No. 10 of 2024. The penalty applies regardless of whether you ultimately owe any Corporate Tax. The good news: since 7 May 2025, the FTA has run a penalty waiver initiative that can exempt or refund this AED 10,000 charge for businesses that act quickly and file their first tax return within 7 months of their first tax period's end.
